1. Who We Are

SoeMindAI is a technology company that builds AI-powered software products and digital platforms, including tools for learning, automation, content generation, and custom AI solutions for businesses.

Our Services may be used by:

• Learners / Students
• Teachers / Instructors / Creators
• Organizations (schools, startups, companies)
• General users exploring our AI tools

2. Eligibility

You may use the Services only if:

• You are at least 18 years old, or
• You are at least 13 years old and have permission from a parent or legal guardian; and
• You have the legal capacity to enter into a binding contract in your jurisdiction.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Our Services are not intended for children under 13 to use directly. Any child-facing features (e.g., storybooks, learning content) must be accessed and managed by a parent, guardian, or teacher.

3. Accounts and Security

To use certain features, you may need to create an account. You agree to:

1. Provide accurate, current, and complete information.
2. Keep your login credentials secure and confidential.

You are responsible for all activities that occur under your account.

We may suspend or terminate your account if we believe you have violated these Terms or used the Services in a harmful or unlawful way.

4. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in any way that violates applicable laws or regulations.
• Upload, share, or generate content that is illegal, harmful, abusive, harassing, defamatory, discriminatory, hateful, or otherwise objectionable.
• Attempt to reverse engineer, decompile, or otherwise extract source code or models from our systems.
• Interfere with or disrupt the security, integrity, or performance of the Services.
• Use the Services to build competing products using our confidential information.
• Use the Services to generate or disseminate spam, malware, fraud, or misinformation.

We reserve the right (but are not obligated) to review content and activity and to remove or restrict access at our discretion.

5. AI-Generated Content & No Professional Advice

Our Services may generate text, images, audio, video, or other outputs using artificial intelligence models ("AI Content"). You understand and agree that:

• AI Content may be inaccurate, incomplete, or misleading.
• AI Content is provided for informational and assistive purposes only.
• AI Content does not constitute professional advice (including medical, legal, financial, or educational certification advice).
• You are solely responsible for reviewing, verifying, and deciding how to use any AI Content.

You should not rely on the Services as a substitute for professional judgement.

6. User Content & License

You may upload, submit, or provide data, text, images, audio, video, documents, or other materials to the Services ("User Content"). You represent and warrant that:

• You own or have the necessary rights to submit User Content; and
• Your User Content does not violate any third-party rights or laws.

You retain ownership of your User Content. However, by using the Services, you grant SoeMindAI a worldwide, non-exclusive, royalty-free license to:

• Use, host, store, process, reproduce, and display your User Content as needed to provide, maintain, and improve the Services;
• Generate AI outputs based on your prompts and inputs;
• Create aggregated or de-identified data for analytics and service improvement, as long as we do not disclose your personal identity.

You are responsible for backing up your own User Content. We do not guarantee backup or permanent storage unless explicitly stated.

7. Intellectual Property

All rights, title, and interest in and to the Services, including software, models, features, designs, trademarks, logos, and content created by SoeMindAI (excluding User Content), are and remain the exclusive property of SoeMindAI and its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use, in accordance with these Terms.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Services;
• Use our trademarks, logos, or branding without our prior written permission.

8. Payments, Subscriptions & Refunds

Some parts of the Services may require payment (e.g., subscriptions, course purchases, AI usage credits, enterprise solutions).

• Payment processing is handled by third-party providers (e.g., Stripe) and subject to their terms.
• You agree to provide accurate billing information and authorize us and our payment processors to charge your selected payment method.
• Prices, features, and billing cycles will be described at the point of purchase.

Refund Policy: Refund eligibility and conditions will be described on the relevant product or checkout page. Unless explicitly stated, all digital purchases are non-refundable once delivered or accessed.

9. Third-Party Services

The Services may integrate with or link to third-party products or services (e.g., cloud providers, analytics tools, payment processors, AI APIs).

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOEMINDAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; ANY WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; ANY WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI CONTENT OR OTHER OUTPUT.

You use the Services at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOEMINDAI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID TO US FOR THE RELEVANT SERVICE IN THE SIX (6) MONTHS BEFORE THE CLAIM, OR (2) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless SoeMindAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services;
• Your User Content;
• Your violation of these Terms;
• Your violation of any law or third-party rights.

13. Changes to the Services or Terms

We may modify or discontinue parts of the Services at any time.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and may provide additional notice (e.g., via email or in-app).

Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

14. Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services at any time, with or without notice, if:

• You violate these Terms;
• We are required by law;
• We discontinue the Services.

Upon termination, your right to access and use the Services will cease. Certain sections (including Intellectual Property, AI Content disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive termination.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Thailand, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services will be resolved in the courts located in Thailand, and you consent to the jurisdiction of those courts.

If you are a consumer in a jurisdiction that requires local consumer protection rights, those rights remain unaffected.
