Terms of Service

1. Who We Are

SoeMindAI Inc. is a Delaware C-Corporation that designs and builds AI-powered software products and runs builder education programs. Our current Services include:

• SoeMind Foundry — the AI Product Builder Program, a cohort-based program coaching builders to define real problems, build focused MVPs, and validate with real users.
• OwlThuTa — an AI-native IELTS practice product offering diagnosis, daily practice, AI-assisted feedback, mock tests, and progress tracking.
• Selected AI product consulting engagements for organisations.

2. Eligibility

You may use the Services only if:

• You are at least 18 years old, or
• You are at least 13 years old and have permission from a parent or legal guardian; and
• You have the legal capacity to enter into a binding contract in your jurisdiction.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts and Security

To use certain features (including OwlThuTa practice and the Program portal), you may need to create an account. You agree to:

1. Provide accurate, current, and complete information.
2. Keep your login credentials secure and confidential.
3. Notify us immediately at contact@soemindai.com if you suspect unauthorized access.

You are responsible for all activities that occur under your account.

We may suspend or terminate your account if we believe you have violated these Terms or used the Services in a harmful or unlawful way.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in any way that violates applicable laws or regulations.
• Upload, share, or generate content that is illegal, harmful, abusive, harassing, defamatory, discriminatory, hateful, or otherwise objectionable.
• Attempt to reverse engineer, decompile, or otherwise extract source code or models from our systems.
• Interfere with or disrupt the security, integrity, or performance of the Services.
• Use the Services to generate or disseminate spam, malware, fraud, or misinformation.
• Upload confidential customer data, regulated personal data, or other third-party information you do not have permission to share — especially during program coaching sessions or product demos.

5. AI Product Builder Program (SoeMind Foundry)

The AI Product Builder Program is an educational program. By participating, you acknowledge that:

• Participation does not guarantee startup success, funding, revenue, user adoption, employment, or any specific business outcome.
• You remain solely responsible for your own product decisions, technical choices, user research, business model, and any code or content you create.
• Feedback, suggestions, and coaching from SoeMindAI and its instructors are educational and strategic guidance only — they are not legal, financial, tax, regulatory, or investment advice.
• You must not upload confidential customer data, employer information, or regulated personal data into program materials, demos, or shared workspaces without authorization from the data owner.
• You retain ownership of the products, code, and intellectual property you build during the program. SoeMindAI claims no ownership of your MVP or business idea.
• Cohort fees, payment terms, refund eligibility, and any conditions (including whether a cohort is offered free of charge as a founding-cohort initiative) will be described at the point of application or enrolment. Unless explicitly stated, cohort fees are non-refundable once the cohort has begun.

6. OwlThuTa (AI-Native IELTS Practice)

OwlThuTa is an AI-assisted IELTS practice product. By using OwlThuTa, you acknowledge that:

• AI-generated feedback (including speaking, writing, and band-style estimates) is practice assistance, not an official IELTS score or evaluation.
• Results, band estimates, or practice scores produced by OwlThuTa do not guarantee any particular outcome on the official IELTS examination.
• OwlThuTa is not affiliated with, approved by, endorsed by, or otherwise associated with the official IELTS owners (the British Council, IDP: IELTS Australia, Cambridge Assessment English) unless we explicitly state such a partnership. "IELTS" is referenced as the test format users prepare for; all relevant trademarks belong to their respective owners.
• You remain responsible for official test registration, examination fees, identification requirements, and your own exam preparation decisions.
• Audio recordings, written answers, and other practice data you submit are processed to provide feedback and progress tracking. Details are described in our Privacy Policy.

7. AI-Generated Content & No Professional Advice

Our Services may generate text, audio, scoring, or other outputs using artificial intelligence models ("AI Content"). You understand and agree that:

• AI Content may be inaccurate, incomplete, biased, or misleading.
• AI Content is provided for informational and practice purposes only.
• AI Content does not constitute professional advice (medical, legal, financial, regulatory, immigration, certification, or otherwise).
• You are solely responsible for reviewing, verifying, and deciding how to use any AI Content.

8. User Content & License

You may upload or submit data, text, images, audio, written answers, MVP documents, code, or other materials to the Services ("User Content"). You represent and warrant that:

• You own or have the necessary rights to submit User Content; and
• Your User Content does not violate any third-party rights or laws.

You retain ownership of your User Content. By using the Services, you grant SoeMindAI a worldwide, non-exclusive, royalty-free license to use, host, store, process, reproduce, and display your User Content as needed to provide and improve the Services and to generate AI outputs from your inputs.

We do not use your speaking recordings, written IELTS answers, or program MVP documents to train third-party AI models without your explicit consent. We may generate aggregated or de-identified analytics that do not identify you personally.

You are responsible for backing up your own User Content. We do not guarantee permanent storage unless explicitly stated.

9. Intellectual Property

All rights in the Services, including software, models, designs, trademarks, logos, program curriculum, and content created by SoeMindAI (excluding User Content), are the exclusive property of SoeMindAI and its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business use, in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease program materials, recordings, or proprietary curriculum without our prior written permission.

10. Payments, Subscriptions & Refunds

Some parts of the Services may require payment (program cohort fees, OwlThuTa subscriptions or credits, consulting engagements).

• Payment processing is handled by third-party providers (e.g., Stripe) and subject to their terms.
• You agree to provide accurate billing information and authorize us and our payment processors to charge your selected payment method.
• Prices, features, and billing cycles will be described at the point of purchase or enrolment.

Refund Policy: Refund eligibility for each Service is described at the point of purchase. Unless explicitly stated otherwise, digital products and program enrolments are non-refundable once access has been granted or the cohort has begun.

11. Third-Party Services

The Services may integrate with or link to third-party products (cloud providers, payment processors, AI APIs, analytics tools). We do not control and are not responsible for third-party services. Your use of those services may be subject to separate terms and privacy policies.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOEMINDAI DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; ANY WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; ANY WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI CONTENT, IELTS BAND ESTIMATES, OR PROGRAM OUTCOMES.

You use the Services at your own risk.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOEMINDAI, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, IELTS EXAM RESULTS, BUSINESS OUTCOMES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID TO US FOR THE RELEVANT SERVICE IN THE SIX (6) MONTHS BEFORE THE CLAIM, OR (2) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless SoeMindAI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any law or third-party rights.

15. Changes to the Services or Terms

We may modify or discontinue parts of the Services at any time, including changes to program format, cohort schedule, or OwlThuTa features.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and may provide additional notice. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

16. Termination

You may stop using the Services at any time.

We may suspend or terminate your access (including removal from an active program cohort) if you violate these Terms, behave in ways that disrupt other participants, or if we are required by law. Upon termination, your right to access the Services will cease; the AI Content, Intellectual Property, Limitation of Liability, and Indemnification sections will survive.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services will be resolved in the courts located in Delaware, and you consent to the jurisdiction of those courts. Consumer protection rights in your local jurisdiction remain unaffected where required by law.
